Fit for IT Due Diligence. Get your IT ready for the sale

The day you buy, the countdown to the exit begins.

What is Fit for IT Due Diligence?

When you sell, the buyer reviews your IT, and whatever they find affects the price and the contract. That is why it pays to set up your IT beforehand so that it stands up to the review.

Preparation means getting the facts in order and fixing the weaknesses that would weigh on the sale. We help you from the early preparation onwards and support you through the sale process.

When Fit for IT Due Diligence helps

  • Weaknesses would push down the price

Whatever is fixed before the sale no longer has to be defended in the negotiation.

  • The sale is planned, the IT facts are scattered

Systems, contracts and costs need to be prepared in a way a buyer can review.

  • IT must not become a deal breaker

Whatever the buyer plans to do with your IT, it must not get in the way of those plans.

Our approach in four phases

  1. Phase 1

    The buyer's view

    Goal
You know what a buyer would negotiate.
    What we do
We review your IT the way buyers' due diligence teams do, from systems and infrastructure to contracts and licences, security, costs and organisation.
    Outcome
A transparent, detailed list of findings, rated by impact on the deal and effort.
  2. Phase 2

    Clean up

    Goal
Critical points are fixed or properly explained before the sale process starts.
    What we do
We prioritise the findings and agree with you what gets fixed and what gets explained. We implement the quick wins with your team and plan the rest, with cost estimates wherever possible.
    Outcome
An action plan, less to attack in the price negotiation and solid figures for everything still open.
  3. Phase 3

    Prepare

    Goal
Potential buyers get the IT information they need.
    What we do
We bring the relevant IT figures and information together in an IT fact book, check contracts and licences for change of control clauses and fill the IT section of the data room. If you are responsible for the separation, we help you determine the standalone costs it will cause you.
    Outcome
An IT fact book and documents that stand up to review in the due diligence phase.
  4. Phase 4

    Run

    Goal
Buyer questions are answered quickly and consistently.
    What we do
We have already prepared the relevant documents, accompany you in the expert sessions and handle requests in the data room.
    Outcome
    A smooth due diligence process.

Duration and getting started

Ideally, you start at least six to twelve months before the planned sale process, which leaves time for the clean-up. The review from a buyer's perspective takes around four weeks.

We start with a conversation about the timeline, the perimeter and the questions you expect from buyers.

The outcome

IT that convinces in a buyer's review. You know the findings before the buyer does, have fixed the most important ones and go into a due diligence well prepared and without surprises.

The difference

We carry out IT due diligence for buyers ourselves. That is why we know what they ask and what they aim for in the negotiation, and we prepare your IT for it.

Questions about Fit for IT Due Diligence

When should we start?

At least six to twelve months before the planned sale process. If you only start with the information memorandum, you can explain findings but hardly fix them. In a carve-out, the perimeter should be settled before the first documents go to buyers.

How do we deal with findings?

We rate every finding by its impact on the deal, from critical through high and medium to low. Together, we decide whether it has to be fixed before the sale, whether the fix has to be under way or whether a good explanation is enough.

What belongs in the IT section of the data room?

An overview of systems, infrastructure, organisation, contracts, licences and costs, plus the ongoing projects. What matters is less the volume than the consistency, because the IT documents have to match the financial and legal ones.
