Transition Management. Carve-out and integration through to handover.
After closing, you find out whether the deal pays off.
What is Transition Management?
Strategy and valuation are done, now delivery is what counts. With every month in which the new organisation still depends on the TSA, the value you can realise from the deal shrinks.
We help you derive a working IT architecture and move your operations into the new structure without interruption. As the central point of contact for the IT stream, we coordinate experts and service providers and keep interfaces, dependencies and handovers under control.
When Transition Management helps.
The TSA is running, and it keeps getting longer
Every further month under the TSA means more effort and more cost.
Different ERP systems and redundant applications
Fragmented data models and duplicate systems cost money and block the synergies from the deal.
Interim solutions quietly become permanent
Nobody decides what stays and what goes, so delivery never really gets started.
Our approach in four phases.
Phase 1
Target architecture and governance
- Goal
- Clear responsibilities from day one.
- What we do
- Together with you, we define the target architecture and the governance and settle which systems stay, which go and who decides what.
- Outcome
- A target state and a governance model for the IT scope.
Phase 2
Integration planning and sequence
- Goal
- You know what happens when, and why in that order.
- What we do
- We draw up your integration plan with the operational risk in mind and make dependencies between applications, data and organisation visible early on.
- Outcome
- An integration plan with dependencies, milestones and a TSA exit plan.
Phase 3
Delivery and transition
- Goal
- The transition succeeds on time, on budget and to the agreed quality.
- What we do
- We steer data migration, system consolidation, process harmonisation and the connection of interfaces.
- Outcome
- The systems and contracts you need, working on the respective cut-over date.
Phase 4
Stabilisation and handover
- Goal
- Your team carries on independently.
- What we do
- We check processes and systems, correct deviations and hand over to your organisation in an orderly way.
- Outcome
- Functional IT that does not hold your business back.
What you get.
Effective steering
We steer with many years of experience and our own project method, which keeps progress visible at all times.
Critical cost review
We check contracts and systems for their costs and treat your money the way we treat our own.
Strong partner network
Nobody can do everything alone, so we bring in partners from our network for specialist topics, from infrastructure to security.
TMI+.
TMI+ begins after the TSA exit. We keep working with you on increasing the value of your company during the holding period.
Put improvements into practice
We know your company from the carve-out and work through the open points from the action plan quickly.
Keep IT costs coming down
We review contracts, licences, cloud and operations and implement savings that still pay off within the holding period.
Prepare the exit story
Figures, documentation and IT planning stand up to a buyer's due diligence, so you go into the sale with IT that can be verified.
Duration and getting started.
Our mandate covers at least the TSA phase, because the transition is only complete with the TSA exit. Our ambition is to get you out of the TSA in less than twelve months from closing.
Ideally we start before signing, set up the project organisation for the IT stream and plan Day 1. After the TSA exit, we can carry on supporting you with TMI+.

The outcome.
In the end, we hand over to an organisation that runs its processes on its own. The target state is in place, and the integration plan has worked out.
The difference.
Transition Management builds directly on our IT due diligence. You have the same partner from the first assessment to the handover, with no onboarding and no loss of knowledge.
Questions about Transition Management.
Why does IT need its own Transition Management?
Because almost every core process in a company runs on IT today. The IT stream is wired into every business area and brings many parties together, internal and external. That complexity needs its own steering, otherwise IT slows down the whole deal.
What happens up to Day 1, and what after?
By Day 1, the essentials have to work, above all payroll and financial accounting, so that you can close your monthly books. Whatever has not been separated by then continues under the TSA. After that, we replace the TSA services step by step until the TSA exit is done.
How does TMI+ differ from Transition Management?
Transition Management ends with the TSA exit and the handover to your organisation. TMI+ is an optional follow-on mandate for the holding period, and you decide its scope and length. Because the day you buy, the countdown to the exit begins.
